公司制是我国民营企业发展的现实选择,这一制度的核心是公司法人治理结构,其基石是公司产权结构上的资本所有权与经营权的分离。但我国民营企业通常与家族制联系在一起,所有权与经营权高度统一,股权过分集中,从而使所有者与经营者的相互制衡机制缺失,阻碍了民营企业进一步的发展。本文深入分析了我国民营企业治理结构存在的显著问题,就民营企业如何实现治理结构的现代化这一突出问题,提出了自己的建议,对发展既具备高效的工作能力又具有合理的权力分配和制衡关系的民营企业具有十分重要的意义。
Corporate system is a realistic choice for the development of private-owned enterprises in our country. The core of this system is the structure of corporate governance. The cornerstone of the system is the separation of the ownership and the management of capital in the structure of the company’s property rights. However, the private enterprises in our country are usually associated with the family system. The ownership and management rights are highly unified and the stock rights are too concentrated. As a result, the mutual checks and balances mechanism between the owner and the operators are absent, hindering the further development of the private-owned enterprises. This paper analyzes in depth the significant problems existing in the governance structure of private enterprises in our country, and puts forward my own suggestions on how to realize the prominent problem of the modernization of the governance structure in private enterprises. It also has the reasonable power distribution and checks and balances The relationship between private enterprises has very important significance.
