为了跟上时代发展的步伐,促进我国经济的长期可持续发展,上世纪八十年代起我国就积极进行了国企改革,在改革过程中,遇到的一个重要公司治理问题就是两权分离现象,它将国企改革同公司治理问题紧密的联系到一起。公司治理狭义上指的是持有者对经营者实施的监督及管理,广义上指的是治理的机制及结构等。公司运行过程中权利、责任和利益的有效配置就是治理的功能。在现阶段我国社会经济发展优化调整的背景下,加强对国企改革中公司治理相关问题的探讨具有重要意义。
In order to keep pace with the development of the times and promote the long-term sustainable development of our economy, China has actively carried out the reform of state-owned enterprises since the 1980s. In the process of reform, an important corporate governance problem encountered is the separation of the two rights. It closely links the reform of state-owned enterprises with the problems of corporate governance. In the narrow sense, corporate governance refers to the supervision and management by the holder of the undertaking and, in a broad sense, refers to the mechanism and structure of governance. The effective allocation of rights, responsibilities and benefits during the operation of the company is the function of governance. Under the background of the optimal adjustment of social and economic development in our country at this stage, it is of great significance to strengthen the discussion on the issues related to corporate governance in the reform of state-owned enterprises.
