经过近三十年的改革,国有企业改革。在这个过程中,虽然取得了一些成绩,但是体制问题和结构性矛盾还没有从根本上得到解决。造成国有改革举步维艰的原因是多方面的,其中内部人控制问题是一个普遍而且重要的原因。本文从国有企业内部人控制的表现入手,在深入分析出现内部人控制现象的原因后,最后从改善企业内部股权结构,完善经理人市场,完善独立董事的功能和实现激励机制与监督机制相结合四个方面提出了解决国有企业内部人控制问题的基本思路。
