简单浏览我国上市公司的资本运营概况,便可发现上市公司控制权的争夺战风起云涌。据统计,截至2002年7月,中国证券市场就发生325家464例上市公司控制权的争夺事件,其中控制权成功转移的有310家411例。以全部个案计,控制权转移2次及以上的有105家,占32.41％,以成功个案计,控制权转移2次及以上的有77家,占24.84％。 目前,对上市公司控制权的争夺有愈演愈烈之势,而且双方在争夺过程中使用的进攻和抵御手段灵活多变,各不相同,有的甚至对现有制度进行了创新,让人看了眼花缭乱。本文将从控制权的内在价值、争夺控制权和抵御争夺的常用手段、争夺带来的各相关方利益得失和控制权争夺的未来发展趋势等几个方面入手,分析我国上市公司控制权争夺战的相关情况。
