往往一个上市企业重大的高层人事变动给该企业带来各方面的影响,而就国有企业来说,如果在短期内就发生了前后两次相互矛盾的人事变动问题,那么其折射出的国有上市公司存在的治理问题更是值得人们深思。从公司治理的角度探究这前后矛盾的人事地震,对公司的内外部治理现状和机制进行剖析,最后从宏观层面和企业层面提出完善公司治理机制的一些建议,也许对上市公司的良性运作有所裨益。
Often, the major top-level personnel changes of a listed company have various impacts on the enterprise. For the state-owned enterprises, if there are two conflicting personnel changes in the short term, the state-owned listed company The company’s governance problem is worth pondering over. From the perspective of corporate governance, this inconsistency of personnel earthquakes is explored, and the status quo and mechanism of internal and external governance of the company are analyzed. Finally, some suggestions on perfecting the corporate governance mechanism are put forward at the macro level and the corporate level, which may exert some influence on the healthy operation of listed companies benefit.
