管理层收购固然具有相对的制度比较优势 ,但在探讨该模式时 ,更应从中国的本土法律规则之资源出发 ,以明了我国管理层收购的法律障碍及所存在的法律风险。否则 ,就可能导致该制度既定功能与价值的缺位。鉴于在我国的市场经济建设中 ,法律规则创新存在有极大的滞后性 ,因此为了确保管理层收购的公正性、价值性与透明性 ,就有必要将其纳入法治的轨道 ,对阻滞管理层收购的法律规则进行反思 ,并进行相应的矫正。
Although there are relative institutional comparative advantages in MBO, when discussing this model, we should start from the resources of China’s local laws and regulations to understand the legal obstacles and legal risks of MBO in our country. Otherwise, it may lead to the absence of the established function and value of the system. In order to ensure the fairness, value and transparency of the MBO, it is necessary to include it in the track of the rule of law in view of the lagging nature of the legal rules innovation in the construction of the market economy in our country.
