当前,中国经济正处于转型重组的关键时期。政府作为国有资产代表,不可能直接经营管理如此之多的企业,只有通过委托代理关系由经营者经营,从而存在着所有者和经营者之间的利益冲突。而企业在逐渐成熟的过程中,也必然经历一个从家族企业到现代企业的转变,这一转变必然伴随着所有者和经营者的分离。解决这一代理问题的方法之一,是建立一种有效的激励机制,激励企业管理者和员工的积极性,充分发挥其创造性,实现所有者利益最大化。
